In recent months, DreistStorgaard has advised on several transactions in the energy field.

In December, we assisted with the sale of Viking Energi A/S to Kosan Gas A/S, which is owned by the American UGI International group - read more here.

Most recently, in January, we assisted the sellers of Ringsted Biogas ApS with the sale to BioCirc ApS, which with Ringsted Biogas ApS adds a fifth biogas plant to the portfolio. BioCirc ApS is a joint venture between the asset manager Maigaard & Molbech and European Energy. The sale of Ringsted Biogas ApS was made in collaboration with Boje & Ladekjær, who, among other things, mention the transaction here .

Recently, DreistStorgaard has added significant new resources and skills to the energy team, i.a. partner Martin Skovbjerg, who came from the law firm Magnusson. Before that, Martin has a past as long-standing global chief legal officer at the Danish energy sector company Welltec, which makes high-tech solutions for the industrial sector, including oil, gas and geothermal, as well as experience from Rolls Royce Industrial Power. Martin therefore has extensive experience with the energy sector's legal and tax matters as well as transactions in this industry, incl. financing.

In addition, the other partners in DreistStorgaard's M&A team, Svend-Aage Dreist Hansen, Søren Storgaard and Nikolaj Juhl Hansen, have extensive experience in the energy field and have assisted clients in this area for a number of years. Nikolaj Juhl Hansen has worked in the energy area both at Magnusson and the English law firms Travers Smith and Eversheds Sutherland, where he was part of the global energy team.

Recently, DreistStorgaard has been able to say that we have advised in connection with a number of M&A transactions - e.g. the news about Brandgruppen ApS and the news about a group of electrical installers - and we are proud that our business team has now also helped two exciting and innovative scale-ups to close investment rounds.

One is the company CLIIN Robotics; A high-tech company that, based on extensive knowledge of the shipping industry and the industry's challenges in reducing the pressure on the environment, has developed a robot that can clean ships using only water, both on the "inside" of tanks and holds as well as on the "outside" of the hull below the water surface. The other is a life science company which, however, has not yet published the transaction itself.

Nikolaj Juhl Hansen, who joined DreistStorgaard at the end of 2022, is the partner in charge of clients for both companies, and in both cases it is companies and founders that he has fully from the start.

Nicholas says:

In recent months, Martin Skovbjerg and Nikolaj Juhl Hansen have joined as new partners at DreistStorgaard, and one of the strategic focus areas behind the recruitments is to be able to support our customers in connection with transactions and trade with foreign countries.

Martin and Nikolaj both have extensive experience in this area, and both have more than 20 years of process-managed legal advice abroad, e.g. company acquisitions, entering into strategic partnerships and commercial agreements, handling disputes, rolling out compliance programs, etc.

In this context, DreistStorgaard are members of the International Bar Association, so that we thus have a finely meshed network of lawyer connections locally as well as members of the more commercially focused organizations such as the British Chamber of Commerce and the Danish-Chinese Business Forum.

As Denmark's Foreign Minister Lars Løkke Rasmussen announced in connection with the update of the foreign policy strategy, a lot is currently happening on the African continent, and many Danish companies are opening their eyes to the business opportunities. With this development as a background, DreistStorgaard has entered into a partnership with the Africa Innovation Network , which is a network organization for Nordic companies with a focus on Africa ( Read more ). AIN advises, among other things, on business models, geographic selection of markets and entering into partnerships.

Martin Skovbjerg has previously, as long-standing chief legal officer at Welltec, worked with African matters and has experience with transactions, cross-border tax matters, handling anti-corruption programs, project implementation and general business development in a large number of countries including Libya, Algeria, Mauritania, Gabon, Nigeria, Angola, South Africa, Egypt, Equatorial Guinea, DR Congo, Ghana and Sao Tome & Principe.

During his time at the English law firms Travers Smith and Eversheds Sutherland, Nikolaj Juhl Hansen has been responsible for a wide range of legal advisory tasks in the Middle East and Africa, and is currently working with several clients who are in the process of rolling out their business on the African continent .

Earlier this year, DreistStorgaard assisted the Environmental Health Organization (DMO) in connection with the purchase of Jyderup Private Full Day School ( read more ) and we have now again assisted the DMO.

This time with the purchase of Holmegaardshuset, which is a place of residence that accepts children, young people and families either urgently or planned.

DMO is a company that is active in the operation of residences, residential facilities and day care schools, all of which are characterized by living up to the organisation's desire for recognition, closeness, well-being and development for children, young people and adults - and Jesper Christensen, who is owner-manager at DMO, is now expanding again.

DreistStorgaard has assisted the Danish company FabricAir in connection with the purchase of Borealis Wind Inc. in Canada.

DreistStorgaard has a long-term customer relationship with FabricAir, which, based in Denmark, has developed into a global market leader in the design and production of textile-based air distribution solutions for a wide range of applications.

Before the purchase of Borealis Wind, FabricAir had already established itself with subsidiaries in 15 countries, including the USA, China, Turkey, Poland, Lithuania, Germany and a number of other EU countries as well as Mexico.

Borealis Wind is a company started by Daniela Roeper in 2016 that has developed a patent-protected technology for de-icing wind turbine blades.

Together with the local US/Canadian law firm Cozen O'Connor, DreistStorgaard has assisted FabricAir in all aspects of the transaction, including entering into the letter of intent, conducting due diligence, drafting transaction documents and negotiating terms.

Brian Refsgaard, who is CEO and owner manager at FabricAir says: "We chose DreistStorgaard to manage the process around our purchase of Borealis Wind based on the relationship of trust we have with them. Nikolaj Juhl Hansen and Casper Simonsen were the Danish part of the transaction team, and you can tell that they have a lot of experience in process management of this kind of transaction. We have felt well supported throughout. A really good experience".

Nikolaj Juhl Hansen, who joined DreistStorgaard as a partner in November 2022, was responsible for managing the process for FabricAir and says: "A fantastic opportunity to work with Brian in the expansion of FabricAir's business. All parties see great opportunities in this acquisition. Helping our customers navigate law and entering into agreements outside Denmark's borders is a strategic focus area for us, and together with my partner colleague Martin Skovbjerg, I have a team that has extensive experience in this area.”

In the cross-border M&A area, DreistStorgaard has recently, among other things, assisted Brandgruppen in connection with the sale to American Jensen Hughes ( Read more here ) and a number of authorized electrical installers in connection with the sale to the Norwegian capital fund Credo Partners ( Read more here ) .

At the beginning of June, we were able to welcome Christine Finderup Vigsted, who is our new property administrator in Næstved.

We face the summer months with new and positive trade figures from the housing side. These figures show, among other things, that house sales in May 2023 are at the highest level since the same month last year.

According to the trade figures, a total of 7,360 homes were sold nationwide in the month of May. This is 22% more than what was sold in the month of April.

Sales of villas are as much as 24% higher than in April, while apartments and holiday homes were also attractive in May.

If you are looking for a new holiday home, you can be pleased that the options have become much more numerous. New supply figures from Boligsiden in March 2023 show an increase in the number of holiday homes for sale.

Spring and the milder weather have made several summer house owners think of selling. New supply figures for early June show an increase in the total number of holiday homes for sale in Denmark of 20 percent. This is happening after the total supply of holiday homes reached the lowest level since the beginning of 2015 at the beginning of March this year.

"There is no doubt that there has been a boost in the supply of holiday homes this spring. And especially in our area in Stevns Municipality, the number has increased by 80 percent since the beginning of March this year. This is the highest increase nationally, but it must also be said that it is an area which does not have the largest proportion of holiday homes, and the high increase in supply is therefore also made up of a relatively small number of holiday homes. On 1 January 2023, DreistStorgaard opens the doors to a new office in Holbæk.

In mid-September, DreistStorgaard was able to announce a new office in Copenhagen and new premises in Århus. Today, DreistStorgaard is expanding with another location – this time in Holbæk, where the doors to the new office will officially open on 2 January 2023.

The new Holbæk office will be run by an experienced team of lawyers with local knowledge, and both existing and new clients will be guided and advised from the new premises in Holbæk.

DreistStorgaard has long looked at the possibility of further establishing ourselves in Northwest Zealand and was given a unique opportunity to start a collaboration with a local lawyer as responsible partner. That was the starting point for opening a new office in Holbæk. The publication of the new employees who will be associated with the office takes place as part of the opening of the office.
