During 2025 DreistStorgaard Law Firm has provided legal advice to a number of listed clients on cross-border M&A and corporate transactions transactions in both Denmark and Germany. In particular, we have assisted several Chinese listed companies with strategic investments and acquisitions in Europe.

Advising Goertek on its investment in Gryphon Audio

In the spring of 2025, DreistStorgaard advised the blue-chip Chinese audio group Goertek, which already owns Dynaudio and AM3D in Denmark, in connection with the group's investment in the Danish high-end audio company Gryphon Audio, headquartered in Silkeborg. Through its Danish company Goerdyna Holding, Goertek acquired a minority stake in Gryphon Audio.

DreistStorgaard performed due diligence and advised on all legal aspects of both the share purchase agreement and the shareholders agreement for the future joint ownership. The team was led by Jingjing Su and Nikolaj Juhl Hansen in close collaboration with Jacob Dreist (company law and transaction documents) and Morten Lindkvist Nielsen (employment law). Advising Jiangsu Asia-Pacific Alloy Technology on the acquisition of Alunited

DreistStorgaard has also advised the Chinese listed company Jiangsu Asia-Pacific Alloy Technology Co., Ltd. in connection with the company's acquisition of Alunited, an automotive company with production facilities in both Denmark and France.

The seller was the German private equity fund Fidelium Partners. A team led by partner and solicitor Nikolaj Juhl Hansen assisted Jiangsu Asia-Pacific Alloy Technology with the Danish aspects of the transaction, including due diligence and drafting of the transfer agreement. The team also included partner Martin Skovbjerg, associates Jacob Dreist, Jingjing Su and Morten Lindkvist Nielsen as well as junior associates Nadia Vinther and Mads Magnus Gylling Olsen.

DreistStorgaard was part of an international advisory team, as Jiangsu Asia-Pacific was also assisted by Livingstone (corporate finance) and the law firms Heuking (Germany) and Chammas & Marcheteau (France). Fidelium Partners were advised by Klein Wenner (Germany and France) and Horten (Denmark).

Advising Chow Tai Seng on the acquisition of MBL Akustikgeräte GmbH & Co. KG

Most recently, DreistStorgaard advised the famous Chinese luxury brand Chow Tai Seng in connection with the acquisition of the German high-end audio company MBL Akustikgeräte GmbH & Co. KG.

After MBL entered into reconstruction earlier in 2025, DreistStorgaard, together with the German law firm Brödermann Jahn, assisted Chow Tai Seng with the acquisition of MBL's assets, production facilities, distribution network and employees.

DreistStorgaard's Jingjing Su and Nikolaj Juhl Hansen had overall responsibility for the transaction and, in close cooperation with the other advisors, carried out a swift and efficient due diligence process and prepared and negotiated the transaction documents.

Situationen er, at kvinden er enearving til sin mor, men hun er uhelbredeligt syg. Hun ønsker at sikre sin mand og hans børn bedst muligt økonomisk, hvis hun går bort før sin mor – og spørger til forskellen på at oprette et testamente og på, at manden eventuelt gifter sig med svigermor.

Testamente – den mest sikre og fleksible løsning ved arveplanlægning

Uden et testamente vil arven efter moren, hvis hun overlever datteren, automatisk gå til hendes øvrige slægtninge eller – i mangel af disse – til staten. Manden og hans børn har ingen legal arveret.

Med et testamente kan moren frit bestemme, hvem der skal arve, da hun ikke har tvangsarvinger.
Allan Ohms anbefaler at indsætte manden som arving frem for børnene, da boafgiften for ægtefæller er lavere (15 % mod børns 36,25 %). Manden kan senere give arven videre som gave med en gaveafgift på 15 % af beløb over den afgiftsfri bundgrænse (2025: 76.900 kroner pr. livsarving).

Ægteskab med svigermor – en juridisk, men kompleks arveretlig løsning

Et alternativ kunne være, at moren gifter sig med svigersønnen. Dermed bliver han legal arving efter loven. Denne løsning kan dog give både juridiske, økonomiske og følelsesmæssige udfordringer – eksempelvis i forhold til pension, offentlige ydelser og sociale relationer.

Rettidig planlægning kan spare penge i skat og afgifter

Ifølge Allan Ohms er et testamente den mest enkle og sikre løsning, og det bør oprettes i dialog med hele familien og en erfaren rådgiver. En drøftelse af forholdene og ønsker kan mindske risikoen for fremtidige konflikter og samtidig optimere skatteforholdene.

Allan Ohms fortæller, at han for nylig så et dødsbo, hvor afdøde kunne have sparet mere end to millioner kroner i skat og afgifter, hvis der var lavet en plan i tide.

Suppler testamentet med en fremtidsfuldmagt

For ekstra tryghed kan et testamente kombineres med en fremtidsfuldmagt.
Med en fremtidsfuldmagt kan moderen give svigersønnen – og eventuelt hans børn – mulighed for at varetage hendes økonomiske og personlige forhold, hvis hun senere ikke selv kan.

Allans råd og konklusion:

A big congratulations to Nikolaj Jackson Christensen, who received his qualification as a lawyer at the beginning of the week!

Nikolaj can therefore well-deservedly change the title of legal assistant to lawyer. We are pleased that Nikolaj will continue as a lawyer at DreistStorgaard, where he will primarily deal with cases within family and inheritance law in our private team.

Summer has begun and for the Toy Heroes this means that a lot of fun activities for young and old are on the programme. So far, the program has, among other things, offered Hero Camps, Hero Races and a bicycle tour around Denmark.

The Legeheltenene cycling team "Legeheltene Riders" was sent off on a trip and has cycled around to 13 children's wards in the Danish hospitals. Here they handed out teddy bears to the children in the wards and got new energy to cycle on. The team consisted of passionate people who want to support the work for the hospitalized and vulnerable children. The trip went from Aalborg to Copenhagen, where they finished at Rigshospitalet.

In addition, they have held five Hero Camps around the country, where 107 children and their parents participated. The purpose of Heltecamps is to give chronically and long-term ill children and their families a space free from the disease. Here they get lovely summer holiday memories, lots of nature, play and fellowship with others in similar situations.

We are happy to support the Play Heroes and see the joy they bring out in the hospitalized and vulnerable children in 33 children's wards in Denmark and the Faroe Islands.

The capital owners of Viking Energi A/S, with advice from partner Svend-Aage Dreist Hansen, have sold the company to Kosan Gas A/S per 1 December 2022.

Since 2012, the Danish company Viking Energi A/S has been a significant player on the Danish gas market. The company has sold and distributed gas in bottles and tanks to businesses and retailers all over the country.

When the opportunity for a sale presented itself, and the timing was right, the capital owners in Viking Energi A/S chose to enter into dialogue about a sale. Therefore, on 1 December, Viking Energi A/S was taken over by Kosan Gas A/S, which is one of the Nordics' leading suppliers of gas in tanks with over 90 years of experience. With the purchase of Viking Energi A/S, Kosan Gas A/S strengthens their position on the Danish market.

DreistStorgaard has been involved since the start-up of Viking Energi A/S, and therefore it is a special deal for Svend-Aage Dreist Hansen, who says:

"A chapter for the owners of Viking Energi A/S is over, and it has been a big decision for them to sell their company. We are happy to have advised the capital owners in Viking Energi A/S, and together we have arrived at a good result. Congratulations on the business transfer to the capital owners in Viking Energi A/S

DreistStorgaard Advokater has assisted the Viking group with the preparation of the set of agreements regarding a number of investors' investment in a real estate project with 20 luxury villa apartments in the coastal town of Rovinj in Croatia.

The project is the Viking Group's 20th project in Croatia since 2010, and the Danish property developer now has a portfolio that includes property projects in a number of cities, including Zagreb, Umag, Rovinj, Opatija and Rijeka. In total, the Viking group has initiated real estate projects with more than 1,000 apartments and villas in Croatia for an investment amount of almost EUR 100 million, of which EUR 30 million. in equity has been raised by more than 30, primarily Danish, investors.

The Viking Group has put together a team with extensive international and local experience, consisting of Danish and Croatian forces, who on most projects budget and deliver an IRR over a 3-4 year period of 18-20% while also being able to offer investors a hurdle rate of 8%.

Viking Group's CEO, Jeppe Vestergaard Frandsen, says:

"After 12 years in Croatia, we have established a good market position and good relations with the central players, including in relation to sourcing new projects, banks, local authorities, construction companies, estate agents, architects, etc. When you see this in combination with a market which is a member of the EU, which has growth well above the level in the EU, which is underdeveloped in the cities and where urbanization is far below average - and which in 2023 will be part of both the eurozone and Schengen cooperation - then we want to continue to grow our commitment in Croatia".

DreistStorgaard's team on the case was partner Nikolaj Juhl Hansen and Casper Simonsen, who have now advised the Viking group in connection with the investments in +15 projects. Jeppe Vestergaard Frandsen says about DreistStorgaard:

DreistStorgaard has advised the owners of a group of electrical installers in Zealand, including A/S Aage Langkjær with headquarters in Skælskør, in connection with the sale to the Norwegian capital fund Credo Partners, which at the same time also buys El & Teknik in Næstved and El-Comp in Vordingborg.

Credo Partners has recently sold the Norwegian company Konstel, which with 20 acquisitions of local electrical installers in 3½ years grew from NOK 400 to NOK 1.5 billion. in turnover, and is now trying to repeat the success in Denmark.

DreistStorgaard has advised the owners of A/S Aage Langkjær and other sellers regarding all aspects of the transaction, including preparation of the sale, implementation of due diligence, internal structuring prior to the sale, employment law matters and negotiation of transaction documents. In some areas, DreistStorgaard has also had a coordinating role for all the sellers in the transaction, including in relation to the reinvestment made by the owners.

The main shareholder in Aage Langkjær, Lars Juhler Kristensen, who continues in the role of day-to-day manager of the company, says:It is an exciting path we are embarking on together with Credo Partners and the other sellers. It will be exciting to develop something together. Throughout, we have had very good help from the team at DreistStorgaard, who with a "safe hand" have helped us navigate the transaction documents and get everything in place. You could count on things being under control”.

DreistStorgaard has advised the owners of Brandgruppen ApS in connection with the merger with American Jensen Hughes.

Brandgruppen is a consulting engineering company specializing in certified fire consulting, and is one of Denmark's leading companies in this area.

Jensen Hughes, headquartered in Maryland, USA, is the absolute largest and leading consultant in the USA, Europe and the rest of the world within fire safety of all types of construction, construction projects and warehouses, etc. Jensen Hughes consists of over 1,500 specialists who work with fire safety and projects in over 100 different countries and are associated with over 300 professional committees within fire safety.

Thomas Schleidt, Allan Anton Hansen and Nicholas Lavard Brogaard established Brandgruppen in 2021, and thus already become part of the world's largest company in this industry. Thomas Schleidt says of the transaction:

"Becoming part of Jensen Hughes contributes to even more ongoing development of our fire technical qualifications and knowledge. In recent months, DreistStorgaard has advised on several transactions in the energy field.

Most recently, in January, we assisted the sellers of Ringsted Biogas ApS with the sale to BioCirc ApS, which with Ringsted Biogas ApS adds a fifth biogas plant to the portfolio. BioCirc ApS is a joint venture between the asset manager Maigaard & Molbech and European Energy. The sale of Ringsted Biogas ApS was made in collaboration with Boje & Ladekjær, who, among other things, mention the transaction here .

Recently, DreistStorgaard has added significant new resources and skills to the energy team, i.a. partner Martin Skovbjerg, who came from the law firm Magnusson. Before that, Martin has a past as long-standing global chief legal officer at the Danish energy sector company Welltec, which makes high-tech solutions for the industrial sector, including oil, gas and geothermal, as well as experience from Rolls Royce Industrial Power. Martin therefore has extensive experience with the energy sector's legal and tax matters as well as transactions in this industry, incl. financing.
